Preamble & Acceptance

Company: BaseState Compliance, operated by Mounted Rifles Management Limited (referred to as "BaseState," "we," "us")

By accessing or using the BaseState Service, the Customer agrees to these Terms and the Privacy Policy.

Section 1: Scope of Service and Disclaimer of Legal Advice

1.1 Service Defined: BaseState is an automated, third-party compliance documentation and archiving tool. The Service's sole purpose is to administer, record, and securely archive evidence of employee training completions and acknowledgements for the Customer's internal compliance and audit defense needs.

1.2 Not an AI Vendor: BaseState does NOT sell, develop, or distribute artificial intelligence software, chatbots, automations, or AI tools of any kind. We are a governance and training platform that helps organizations manage the human element of AI compliance.

1.3 Disclaimer of Legal Advice: BaseState does NOT provide legal, tax, or professional compliance advice. We are a training and verification platform only. The Customer is solely responsible for:

• Ensuring the content of the training materials meets all legal requirements
• Determining which employees are required to take which training
• Ultimate compliance with all applicable Federal, State, Provincial, and Local laws

1.4 Evidentiary Use: The Service is designed to produce time-stamped, third-party verified records for potential use as evidence in disputes. BaseState does not warrant or guarantee that these records will result in a successful legal defense or immunity from penalties.

Section 2: Customer Responsibilities and Data Integrity

2.1 Data Accuracy: The Customer warrants that all training content, employee PII, and completion records uploaded to BaseState are truthful, accurate, and lawful.

2.2 Lawful Data Collection: The Customer is solely responsible for obtaining all necessary employee consent or establishing the proper legal basis for collecting and storing their employees' training records in the Service, in compliance with all relevant privacy laws (e.g., CCPA, GDPR, Quebec Law 25, state laws).

Section 3: AI Readiness Self-Test

3.1 Free Assessment: The AI Readiness Self-Test is provided as a free educational tool to help organizations understand their AI governance posture.

3.2 Not Legal Advice: Results from the Self-Test are for informational purposes only and do not constitute legal, compliance, or professional advice.

3.3 Data Collection: By providing your email address to receive test results, you consent to receiving follow-up communications from BaseState about our services.

Section 4: Payment and Subscription

4.1 Pricing: Current pricing is displayed on our Purchase page. All prices are in USD unless otherwise stated.

4.2 Refunds: Refund requests are handled on a case-by-case basis. Contact support@basestatecompliance.com for assistance.

Section 5: Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BASESTATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE USE OF THE SERVICE.
